1. Acceptance of Terms
By accessing or using the Tellix AI platform, website, APIs, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Tellix AI provides AI-powered voice agents, chatbot systems, lead generation tools, accounts receivable automation, and membership retention solutions. The Service includes access to our platform, dashboard (Mission Control), API integrations, and related features.
3. Account Registration
You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at security@tellix.ai if you suspect unauthorized access.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Transmit spam, robocalls, or unsolicited communications in violation of TCPA, CAN-SPAM, or similar regulations.
- Engage in deceptive, fraudulent, or misleading practices.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorized access to any part of the Service.
- Use the Service to develop a competing product.
5. Customer Data & Ownership
You retain all rights to the data you provide to or generate through the Service (“Customer Data”). You grant Tellix a limited license to process Customer Data solely to provide the Service. We will not use Customer Data for any purpose other than operating and improving the Service as described in our Privacy Policy.
6. AI-Generated Content
The Service uses artificial intelligence to generate voice responses, chat messages, and other outputs. While we strive for accuracy, AI-generated content may occasionally contain errors. You are responsible for reviewing and overseeing AI interactions with your customers. Tellix is not liable for decisions made based on AI-generated outputs.
7. Pricing & Payment
- Fees are based on usage (minutes, messages, and features) as described on our pricing page.
- All fees are billed monthly and due upon invoice.
- We reserve the right to modify pricing with 30 days' notice.
- Overdue payments may result in suspension of Service.
- All fees are non-refundable except as required by law.
8. Service Level & Availability
We target 99.9% uptime for our core Service. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.
9. Intellectual Property
The Service, including all software, models, designs, documentation, and branding, is owned by Tellix AI and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service.
10. Limitation of Liability
To the maximum extent permitted by law, Tellix AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amounts paid by you to Tellix in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Tellix AI, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate this agreement at any time with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and we will delete your Customer Data within 90 days, unless retention is required by law.
13. Modifications
We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
